1. Acceptance of These Terms

These Terms and Conditions (“Terms”) govern your access to and use of the website located at www.directank.com and any content, functionality and materials made available through it (collectively, the “Site”). The Site is operated by DirecTank Environmental Products (“DirecTank,” “we,” “us” or “our”).

By accessing or using the Site, you accept and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Site.

The Site is intended for use by businesses and professionals. It is not directed to children, and it is not intended for use by individuals under 18 years of age. By using the Site you represent that you are at least 18 years old and that, where you are acting on behalf of an organization, you have authority to bind that organization to these Terms.

2. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms each time you use the Site.

3. Changes to the Site

We may update, modify, suspend or discontinue the Site or any part of it at any time, with or without notice. Content on the Site may be out of date at any given moment, and we are under no obligation to update it. We will not be liable if the Site, or any part of it, is unavailable at any time or for any period.

4. Permitted Use

Subject to your compliance with these Terms, DirecTank grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your internal business purposes and for legitimate enquiries about our products and services. You may view, download and print pages, brochures and technical documents from the Site for those purposes, provided you do not modify them and you retain all copyright and proprietary notices.

5. Prohibited Use

You agree not to use the Site:

In any way that breaches any applicable federal, state, local or international law or regulation
To transmit, or procure the sending of, any unsolicited advertising or promotional material
To impersonate DirecTank, a DirecTank employee, or any other person or entity
To engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Site

Additionally, you agree not to:

Use any robot, spider, scraper or other automated means to access the Site for any purpose without our prior written permission
Use any manual process to monitor or copy material on the Site, or for any unauthorized purpose
Introduce any virus, trojan, worm, logic bomb or other material that is malicious or technologically harmful
Attempt to gain unauthorized access to, interfere with, damage or disrupt any part of the Site, the server on which it is stored, or any server, computer or database connected to it
Attack the Site via a denial-of-service attack or a distributed denial-of-service attack
Reverse engineer, decompile or disassemble any part of the Site
Otherwise attempt to interfere with the proper working of the Site

6. Intellectual Property Rights

The Site and all of its contents — including text, graphics, logos, images, photographs, product drawings, technical specifications, brochures, video, software and the design, selection and arrangement of the foregoing — are owned by DirecTank, its licensors or other providers of such material, and are protected by United States and international copyright, trademark, trade dress, patent, trade secret and other intellectual property laws.

“DirecTank,” the DirecTank logo, and the product names appearing on the Site, including Direct X, DirectFlex, Vapor Shield, Capacity+ and Wedge Wiper, are trademarks or trade names of DirecTank. You must not use these marks without our prior written permission. All other names, logos, product and service names, designs and slogans on the Site are the trademarks of their respective owners.

Except as expressly permitted in Section 4, no right, title or interest in or to the Site or any of its content is transferred to you, and all rights not expressly granted are reserved by DirecTank. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws.

7. Product Information, Specifications and Technical Content

Product descriptions, specifications, drawings, capacities, performance data, standards references and other technical content on the Site are provided for general information only. They are indicative, are subject to change without notice, and do not constitute a warranty, representation, or offer to sell.

Aboveground storage tank equipment must be selected, designed and installed by qualified personnel with reference to the specific application, site conditions, and all applicable codes, standards and regulatory requirements. Nothing on the Site is a substitute for professional engineering judgement or for the project-specific advice of a qualified engineer.

You are responsible for verifying that any product or solution is suitable for your intended application before relying on it. Nothing on the Site constitutes engineering, safety, regulatory, environmental or legal advice.

8. Enquiries, Quotations and Orders

Submitting a contact form, quote request or other enquiry through the Site does not create a contract between you and DirecTank and does not obligate DirecTank to supply any product or service. Any quotation we issue is subject to its own terms, is valid only for the period stated in it, and may be withdrawn or amended at any time before acceptance.

Contracts for the supply of products and services are formed only on DirecTank’s written acceptance of an order, and are governed by DirecTank’s terms and conditions of sale, which prevail over these Terms in the event of any conflict in relation to that supply.

9. User Submissions

Any enquiry, feedback, drawing, specification, comment or other material you submit to us through the Site (“Submissions”) is submitted on a non-confidential basis, unless we have separately agreed otherwise in writing, such as under a non-disclosure agreement.

By making a Submission, you grant DirecTank a non-exclusive, royalty-free, worldwide licence to use, reproduce and disclose it internally for the purpose of responding to your enquiry and operating our business. You represent that your Submission is accurate, that you own or control the rights to it, and that it does not violate these Terms or the rights of any third party.

Please do not send us confidential or proprietary information through the Site’s contact forms. If you need to share confidential material, contact us first so that appropriate arrangements can be made.

10. Links to and from the Site

The Site contains links to third-party websites, including our LinkedIn company page and the LinkedIn profiles of members of our team. These links are provided for convenience only. DirecTank has no control over the contents of those sites and accepts no responsibility for them, for any loss or damage arising from your use of them, or for their privacy practices.

You may link to our home page in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in any way that suggests any form of association, approval or endorsement on our part where none exists, and you must not frame the Site on any other website. We reserve the right to withdraw linking permission without notice.

11. Disclaimer of Warranties

You understand that we cannot and do not guarantee that files available for downloading from the Site will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Site for any reconstruction of any lost data.

Your use of the site, its content, and any services or items obtained through the site is at your own risk. the site, its content, and any services or items obtained through the site are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied.

To the fullest extent permitted by law, directank disclaims all warranties, express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. directank makes no warranty that the site will be accurate, reliable, error-free, uninterrupted, secure, or free of viruses or other harmful components.

Nothing in this section affects any warranty that DirecTank expressly provides in a written contract of sale for its products. The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will directank, its affiliates, or their respective directors, officers, employees, agents or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business interruption, or loss of anticipated savings, arising out of or in connection with your use of, or inability to use, the site or any content on it, whether based on warranty, contract, tort (including negligence), strict liability or any other legal theory, and whether or not directank has been advised of the possibility of such damages.

Directank’s total aggregate liability arising out of or relating to these terms or your use of the site will not exceed one hundred u.s. dollars (us$100).

The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify and hold harmless DirecTank, its affiliates, and their respective directors, officers, employees, contractors, agents, licensors and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses and fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your Submissions, or your use of the Site other than as expressly authorized in these Terms.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in Harris County, Texas. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts. Each party irrevocably waives any right to a trial by jury in any such proceeding to the fullest extent permitted by law.

15. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these terms or the site must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

16. Export Control and Trade Compliance

Products, technical data and software referenced on the Site may be subject to United States export control laws and regulations, including the Export Administration Regulations, and to economic sanctions administered by the U.S. Office of Foreign Assets Control. You agree to comply with all such laws and regulations and represent that you are not located in, under the control of, or a national or resident of, any country or on any list of restricted parties to which such transfers are prohibited.

17. Termination

We may terminate or suspend your access to all or part of the Site immediately, without prior notice or liability, for any reason, including if you breach these Terms. Sections 6, 9, and 11 through 20 survive any termination.

18. Severability and Waiver

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, that provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No waiver by DirecTank of any term or condition set out in these Terms shall be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition. Any failure by DirecTank to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and DirecTank regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding the Site. For the avoidance of doubt, these Terms do not govern the supply of products or services, which is governed by DirecTank’s terms and conditions of sale.
